Terms of Service

1 Acceptance of Terms

These Terms govern your use of the Depi platform operated by Depi Holdings Ltd. By creating an account or using any part of our service, you confirm that you are at least 18 years old and legally capable of entering into a binding agreement under Kenyan law.

2 User Accounts

You must provide accurate, current, and complete information when registering. You are responsible for maintaining the confidentiality of your OTP codes and API tokens. You may not share your account or create more than one account per individual or entity. We reserve the right to suspend accounts that violate these Terms or engage in fraudulent activity.

3 Property Listings

Sellers are solely responsible for the accuracy of their listings. You must only list properties for which you hold legitimate ownership or written authority. Uploading forged documents or misrepresenting property details is prohibited and may result in civil and criminal liability under Kenyan law. Depi reserves the right to remove any listing without prior notice.

4 DEPI Token Usage

DEPI tokens are an in-platform utility currency at a 1:1 rate with Kenya Shillings. Tokens are non-transferable between accounts except through official referral mechanisms. Token purchases are final; unused tokens may be withdrawn to M-Pesa at the prevailing rate. We reserve the right to modify token pricing, earning rates, and withdrawal terms with 14 days' notice.

5 Activation Fee

Sellers, agents, and landlords are required to pay a one-time KES 1,000 activation fee via M-Pesa before accessing listing and contact features. This fee is non-refundable once the account is activated. Buyers are exempt from this fee. Depi reserves the right to adjust the activation fee amount with 14 days' advance notice.

6 Limitation of Liability

Depi is a marketplace platform. We do not hold funds in escrow, act as legal owner of any listed property, or guarantee the completion of any transaction. We are not liable for any direct, indirect, or consequential losses arising from property transactions conducted through the platform.

7 Governing Law

These Terms are governed by the laws of the Republic of Kenya. Any disputes will be subject to the exclusive jurisdiction of the courts of Nairobi County.

8 Prohibited Conduct

• × Posting fraudulent, inaccurate, or misleading property listings
• × Requesting payment from buyers outside the platform before a viewing
• × Using the platform for money laundering or illegal property transactions
• × Impersonating other users, agents, or government officials
• × Attempting to reverse-engineer, scrape, or automate access to the platform
• × Sharing, selling, or transferring your account credentials to another person
